Business Registration in Kenya 2026: BRS V2, Beneficial Ownership and the KRA PIN Question
Registering a company in Kenya keeps evolving: BRS's official notice of 18 November 2025 lists the registration services available on its BRS V2 platform (brsv2.ecitizen.go.ke) and companies carry the continuing beneficial-ownership duty: keep the register, lodge it with the Registrar, and (for companies other than public listed companies, per section 93A(4)) lodge a copy of any amendment to the register within 14 days after making that amendment. Under section 93A(5)–(6) of the Companies Act, failure to keep and file the register is an offence — on conviction, the company and each officer in default face a fine not exceeding KSh500,000; and after such a conviction, each day the failure continues constitutes a further offence carrying a fine not exceeding KSh50,000 for each offence. This guide covers what each piece means and what to do.
1. BRS V2: Services Listed by BRS
BRS's notice of 18 November 2025 listed the services available on its BRS V2 platform (brsv2.ecitizen.go.ke) — covering business names, LLPs, Limited Partnerships and companies; confirm the live platform before you file. We could not verify an official processing-time standard; ask BRS or check its current service pages for timelines.
For the complete step-by-step registration walkthrough — entity types, costs and documents — see our main guide: How to Register a Business in Kenya. This article explains the statutory duties and the latest cited BRS notices — verify whether BRS has issued later notices or changed the filing route before relying on any detail.
2. The KRA PIN at Registration: What's Confirmed and What's Not
No official BRS/KRA confirmation was located as of 29 August 2026.
3. Beneficial Ownership: The Duty and the 10% Threshold
3.1 The legal basis
Section 93A of the Companies Act 2015 requires every company to keep a register of its beneficial owners, and the Companies (Beneficial Ownership Information) Regulations, 2020 (Legal Notice 12 of 2020) set out how. The Registrar's compliance notice also refers to LLPs in its five-year strike-off warning; this guide does not explain LLP beneficial-ownership obligations — confirm them directly with BRS.
3.2 Who is a beneficial owner?
Under the Regulations, a beneficial owner is a natural person who meets any of the following conditions in relation to the company:
- Holds at least 10% of the issued shares — directly or indirectly
- Exercises at least 10% of the voting rights — directly or indirectly
- Holds a right, directly or indirectly, to appoint or remove a director
- Exercises significant influence or control, directly or indirectly, over the company
Note two things readers often get wrong. First, the shareholding and voting-rights tests use a 10% threshold — not 25% (a common misconception). A person can also be a beneficial owner through director-appointment rights or significant influence/control without holding 10%. Second, beneficial ownership is not only about percentage holdings: indirect holdings, control through agreements or chains of entities, director-appointment rights and significant influence all count. Complex ownership structures — trusts, nominees, layered holdings, overseas entities — may require additional analysis and deserve professional advice.
3.3 What you file
- Form BOF1 — Regulation 3(5) requires the company to lodge its register with the Registrar; under section 93A(3) of the Companies Act ("A company shall lodge with the Registrar a copy of its register of beneficial owners, within thirty days after completing its preparation"), this is due within thirty days after completing preparation of the register
- Form BOF2 — particulars of changes in beneficial owners, for companies other than public listed companies (the Regulations provide for a fee; confirm the current amount in BRS's fee schedule)
- Form BOF3 — notice of a person ceasing to be a beneficial owner (Regulation 3(7), in accordance with section 93A(4)); as with BOF2, the 14-day duty in s.93A(4) applies to companies other than public listed companies
- The forms (BOF1/BOF2/BOF3) are available from BRS — confirm the current filing method and portal on the official BRS website (brs.go.ke) before filing
- Regulation 3(3) lists the register particulars for each beneficial owner: full name; birth certificate, national ID or passport number; KRA PIN; nationality; date of birth; postal, business and residential address; telephone number; email; occupation or profession; the nature of ownership or control; and the dates of becoming or ceasing to be a beneficial owner — the live form is authoritative for format
Section 93A(4) requires the register amendment to be lodged within fourteen days after making the amendment (for companies other than public listed companies); the Registrar's notice expresses the same duty as filing amendments "within 14 days of such changes", and describes the per-officer penalties when it is missed.
3.4 The penalties — from the Registrar's own notice
The Registrar of Companies' public compliance notice (published October 2024, at brs.go.ke/wp-content/uploads/2024/10/Public-Notice_Compliance-with-BOI.pdf — check the BRS notices page for any later notice) states the following enforcement consequences:
| Failure | As stated in the October 2024 compliance notice |
|---|---|
| Failure to keep and file the register of beneficial ownership information | s.93A(5)–(6): the company and each officer in default commit an offence and, on conviction, a fine not exceeding KSh500,000; a further offence for each continuing day carries a fine not exceeding KSh50,000 per offence. The October 2024 notice states the same figures. |
| Failure to file amendments within 14 days of a change | Per the October 2024 notice: "an administrative fine of Ksh. 2,000 for the company and each officer in default, with an additional penalty of Ksh. 100 for every day the default continues, applicable to both the company and the responsible officers" (section 93A(4) states the 14-day amendment duty for companies 'other than a public listed company'). The BRS notice states an administrative fine of KSh2,000 plus KSh100 per day. Section 93A(5) separately provides for an offence and conviction-based fines for non-compliance. The sources cited here do not explain whether, or when, both consequences may be imposed. |
| Failure to file for a period of 5 years | Per the notice: "failure to file the information for a period of 5 years shall lead to companies and LLPs being declared as not carrying on business and subsequently struck off from the Register as per Section 894 of the Companies Act and 33A of Limited Liability Partnerships Act" — a process under those sections, not an automatic next-day strike-off; the notice does not define precisely which filing failures count or how the period is measured |
4. What To Do — Checklist by Situation
If you're registering a new company in 2026:
- Check BRS's current instructions and, if confirmed, apply for incorporation through the designated eCitizen/BRS route — the 2025 service-list notice does not guarantee the current route
- Check whether KRA PIN issuance is integrated with your registration — we have not identified an official notice confirming this; if a separate application turns out to be needed, confirm the process from the official KRA PIN guidance before proceeding
- For companies, lodge the applicable BOF form with the Registrar — BOF1 is for the initial register and BOF2/BOF3 cover changes and cessation. LBOF forms relate to LLPs; confirm the current filing steps and BRS V2 route in the BRS guide to updating BOF on BRS V2. A company must lodge its register within 30 days after completing preparation (section 93A(3)).
If your company has been running but never filed BO:
- Identify your beneficial owners (10% tests, director-appointment rights, significant influence or control — including indirect arrangements). Note: Regulation 4 also gives the company a duty to investigate — it can issue a notice to a person it believes is a beneficial owner, who must comply within 21 days of the notice
- Prepare the particulars and supporting information requested by the current BOF1 form (typically identification and ownership details) — check the current BRS form for upload/document requirements, while ensuring all Regulation 3(3) particulars are available and accurate
- Lodge Form BOF1 through BRS's filing route — confirm whether filing is currently available online and the applicable route on brs.go.ke
If a change requires an amendment to the register:
- If the change requires an amendment to the register, lodge it within fourteen days after making the amendment (s.93A(4)) — BOF2 covers particulars of change; BOF3 covers a person ceasing to be a beneficial owner (fee applies per the Regulations; confirm with BRS which forms your situation needs)
- If a beneficial owner left, file Form BOF3 (the cessation notice) — confirm with BRS whether both BOF2 and BOF3 are needed for your situation
Frequently Asked Questions
What is beneficial ownership filing in Kenya?
Companies in Kenya must maintain a register of their beneficial owners and lodge it with the Registrar of Companies, using forms BOF1 (register of beneficial owners), BOF2 (particulars of change of beneficial owners) and BOF3 (notice of a person ceasing to be a beneficial owner) — per section 93A of the Companies Act 2015 and the Companies (Beneficial Ownership Information) Regulations 2020. Confirm the current filing route on the BRS website (brs.go.ke). The BRS notice also refers to LLPs in its five-year strike-off warning, but this guide does not explain LLP beneficial-ownership obligations — confirm them directly with BRS.
Who is a beneficial owner under the Kenyan regulations?
A natural person who meets any of these conditions in relation to the company: holds at least 10% of the issued shares (directly or indirectly); exercises at least 10% of the voting rights (directly or indirectly); holds a right to appoint or remove a director; or exercises significant influence or control, directly or indirectly, over the company.
What is the penalty for not filing beneficial ownership information?
Per section 93A(5)–(6) of the Companies Act and the Registrar's October 2024 compliance notice: on conviction, the company and each officer in default may face a fine not exceeding KSh500,000; Only after the company or officer has been convicted of the initial offence, and the failure continues, does each continuing day constitute a further offence carrying a fine not exceeding KSh50,000 for that offence. A company other than a public listed company must lodge amendments within 14 days (section 93A(4)); the notice states the KSh2,000 and KSh100-per-day administrative fines apply to the company and each officer in default. The notice states that failure to file the information for a period of five years can lead to a company or LLP being declared not carrying on business and struck off (section 894 of the Companies Act; section 33A of the LLP Act). The notice does not define precisely which filing failures count toward that period — treat the strike-off route as a process under those sections, not an automatic consequence.
Is the automatic KRA PIN at business registration available to everyone?
We have not identified a confirmation in the official materials reviewed; verify the live workflow before relying on automatic issuance.
Does a single-owner company still file beneficial ownership?
Ordinarily yes — a natural person holding 100% of the shares satisfies the beneficial-owner tests and will be recorded as the beneficial owner. Where nominee, trust or other indirect arrangements sit behind the holding, analysis under the Regulations is needed to identify all relevant natural persons.
